1. Introduction
Welcome to Unmazed ("Unmazed", "we", "us", or "our"). Unmazed is an AI-powered analytics and growth intelligence platform that connects to e-commerce and advertising sources (including, without limitation, Shopify, Meta Ads, Google Ads, TikTok Ads, and similar platforms) to provide insights, recommendations, and reporting to online businesses operating primarily in the MENA region.
These Terms and Conditions (the "Terms") govern your access to and use of the Unmazed website, dashboards, APIs, and related services (collectively, the "Service"). By creating an account, connecting a data source, clicking "I agree", or otherwise using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
2. Who may use the Service
2.1 You must be at least 18 years old and legally capable of entering into a binding contract.
2.2 If you use the Service on behalf of a company, store, agency, or other legal entity, you represent that you have authority to bind that entity, and "you" refers to that entity.
2.3 The Service is intended for business use (B2B). It is not intended for personal, household, or consumer purposes.
3. Accounts
3.1 To access most features you must create an account. You agree to provide accurate, current, and complete information and to keep it updated.
3.2 You are responsible for safeguarding your credentials and for all activity under your account. Notify us promptly at support@getunmazed.com if you suspect unauthorised access.
3.3 We may suspend or terminate accounts that violate these Terms, pose a security risk, or remain inactive for an extended period.
4. Subscriptions, Trials, and Payment
4.1 Plans. Access to paid features is offered on a subscription basis. Current plans, features, and prices are listed on our pricing page and may change from time to time. Changes to fees for existing subscribers will take effect at the start of the next billing cycle.
4.2 Free trial / freemium. We may offer a free trial or freemium tier. At the end of any trial, unless you cancel, your subscription will automatically convert to a paid plan at the then-current rate.
4.3 Billing. Subscriptions renew automatically each billing cycle (monthly or annually, as selected). You authorize us and our payment processors to charge your payment method for all applicable fees and taxes.
4.4 Taxes. Fees are exclusive of VAT and any other applicable taxes, which you are responsible for.
4.5 Refunds. Except where required by applicable law, fees are non-refundable. We may, at our discretion, issue pro-rated refunds or credits in exceptional cases.
4.6 Failed payment. If a payment fails, we may suspend or downgrade your access until the amount due is paid.
5. Third-Party Integrations
5.1 The Service works by connecting to third-party platforms and data sources ("Third-Party Services") using OAuth or similar authorization methods.
5.2 By connecting a Third-Party Service, you:
(a) authorize Unmazed to access, read, and process data from that service on your behalf, solely to provide the Service;
(b) represent that you have the right to grant that authorisation;
(c) agree that you remain bound by the terms of each Third-Party Service; and
(d) acknowledge that Unmazed is not responsible for the availability, accuracy, or policies of Third-Party Services.
5.3 You may disconnect a Third-Party Service at any time from your Unmazed account settings.
6. Your Data and Content
6.1 Ownership. You retain all rights to the data, reports, and content you submit or that we retrieve from Third-Party Services on your behalf ("Customer Data").
6.2 Licence to us. You grant Unmazed a worldwide, non-exclusive, royalty-free licence to host, copy, process, analyze, display, and transmit Customer Data solely as needed to (a) provide and improve the Service for you, (b) meet our legal obligations, and (c) produce aggregated and anonymized insights that do not identify you or your customers.
6.3 Accuracy. You are responsible for the accuracy and legality of Customer Data and for obtaining any consents required to share it with us (including from your end customers where relevant).
7. AI-Generated Insights
7.1 The Service uses artificial intelligence and machine-learning models to generate insights, summaries, and recommendations ("AI Output").
7.2 AI Output is provided for informational purposes only. It may be incomplete, inaccurate, or unsuitable for your specific situation. You are solely responsible for any business decisions you make based on AI Output.
7.3 Unmazed does not guarantee specific business, revenue, or marketing outcomes.
8. Acceptable Use
You agree not to:
(a) use the Service in violation of any applicable law or regulation (including advertising, consumer-protection, and data-protection laws of your jurisdiction);
(b) reverse engineer, decompile, or attempt to derive the source code of the Service;
(c) scrape, bulk-export, or resell data from the Service except as expressly permitted;
(d) use the Service to build a competing product;
(e) upload or transmit malware, or attempt to breach security or access controls;
(f) misuse AI features to generate unlawful, deceptive, or harmful content;
(g) share your account credentials with parties outside your organisation; or
(h) exceed reasonable API or usage limits that we may set.
9. Intellectual Property
9.1 Unmazed, its software, interface, documentation, trademarks, and all related intellectual property are and remain the property of Unmazed and its licensors.
9.2 Subject to these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for your internal business purposes.
9.3 Feedback or suggestions you provide may be used by Unmazed without obligation or compensation.
10. Confidentiality
Each party agrees to protect the other's non-public information disclosed in connection with the Service using the same level of care it uses for its own confidential information (and at least a reasonable level of care), and to use it only as needed to perform under these Terms.
11. Privacy
Our handling of personal data is governed by the Privacy Policy, which is incorporated into these Terms by reference.
12. Suspension and Termination
12.1 By you. You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing cycle.
12.2 By us. We may suspend or terminate your access immediately if you (a) materially breach these Terms, (b) fail to pay, (c) create legal or security risk for us or other users, or (d) misuse AI features.
12.3 Effect. On termination, your right to use the Service ends. Customer Data may be deleted after a reasonable grace period as described in the Privacy Policy. Clauses that by their nature should survive termination (e.g., IP, confidentiality, liability, governing law) will survive.
13. Disclaimers
13.1 The Service is provided on an "as is" and "as available" basis, without warranties of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, or uninterrupted operation.
13.2 We do not warrant that AI Output, data syncs, or insights will be accurate, complete, timely, or error-free.
13.3 Nothing in this section excludes any liability that cannot be excluded under applicable law.
14. Limitation of Liability
14.1 To the maximum extent permitted by law, Unmazed (and its officers, employees, and affiliates) will not be liable for:
(a) lost profits, lost revenue, lost goodwill, lost data, or lost opportunity;
(b) indirect, incidental, special, consequential, or punitive damages; or
(c) damages arising from your use of, or reliance on, AI Output, Third-Party Services, or data accuracy.
14.2 Our total aggregate liability under these Terms will not exceed the total fees you paid us for the Service in the twelve (12) months immediately preceding the event giving rise to the claim.
15. Indemnity
You will defend, indemnify, and hold harmless Unmazed from any claims, damages, and reasonable legal fees arising out of (a) your breach of these Terms, (b) your Customer Data, (c) your use of the Service in violation of law, or (d) your disputes with end customers.
16. Changes to the Service and these Terms
16.1 We may update, modify, or discontinue features of the Service at any time.
16.2 We may update these Terms from time to time. Material changes will be notified by email or in-app notice at least fourteen (14) days before they take effect. Continued use of the Service after the effective date constitutes acceptance.
17. Governing Law and Disputes
17.1 These Terms are governed by the laws of the Netherlands, without regard to its conflict-of-laws rules.
17.2 Any dispute will be submitted to the exclusive jurisdiction of the competent courts of Eindhoven, the Netherlands, unless a different forum is agreed in a signed order form.
18. General
18.1 Entire agreement. These Terms, together with the Privacy Policy, Cookies Policy, and any order form, constitute the entire agreement between you and Unmazed regarding the Service.
18.2 Assignment. You may not assign these Terms without our prior written consent. We may assign to an affiliate or in connection with a merger, acquisition, or sale of assets.
18.3 Severability. If any provision is held unenforceable, the remainder will continue in full force.
18.4 No waiver. Our failure to enforce any right is not a waiver of that right.
18.5 Language. These Terms are provided in English and Arabic. In case of conflict, the English version prevails.
